These Terms of Use (“Terms”) govern access to and use of Nayora’s website, onboarding systems, automation workflows, dashboards, forms, and related services (“Services”). By accessing, purchasing, or using the Services, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.


1. Services

Nayora provides a one-time, done-for-you onboarding automation service, which may include onboarding forms, data organization, dashboards, automation workflows, and onboarding-related notifications.

The Services consist solely of the implementation of an onboarding system as agreed upon prior to delivery. Nayora does not guarantee any specific business outcomes, results, performance improvements, revenue increases, compliance results, or operational efficiencies.

The Services are provided for operational purposes only and do not constitute legal, financial, compliance, or professional advice.


2. Payment, Fees & No Refund Policy

All fees are due in full and upfront before any implementation work begins.

All payments are final and non-refundable.
Once the implementation process has started, no refunds, partial refunds, chargebacks, or credits will be issued under any circumstances.

By purchasing the Services, you expressly waive any right to dispute or reverse payments once work has commenced.


3. Scope of Service

The Services include a defined onboarding implementation as agreed upon prior to delivery.

Unless explicitly stated in writing:

  • The Services do not include unlimited revisions

  • The Services do not include custom development beyond the agreed scope

  • Additional features, workflows, integrations, or changes outside the original scope may require additional fees

  • Nayora is not obligated to perform work beyond the agreed implementation


4. Delivery & Acceptance

The Services are deemed delivered and accepted when the onboarding system (including forms, dashboards, and workflows) is deployed and functioning as demonstrated.

Client must report any implementation-related issues within seven (7) days of delivery. Failure to do so constitutes acceptance of the Services in their delivered form.


5. Initial Adjustment Period

For a limited period of up to one (1) month following delivery, Nayora may, at its discretion, perform reasonable adjustments to address implementation-related issues within the original scope.

This adjustment period does not include:

  • New features

  • Scope expansion

  • Workflow redesign

  • New integrations

  • Changes requested for new or evolving business needs


6. Maintenance vs. Additional Changes

“Maintenance” is strictly defined as the correction of technical errors or failures that prevent the delivered system from operating as originally intended.

Maintenance does not include:

  • Feature additions

  • Expanded logic

  • Structural redesign

  • New workflows or integrations

Any request outside maintenance may be subject to an additional fee, to be determined separately.


7. Access & Usage

Clients are granted access to dashboards and onboarding systems for internal business use only.

Clients are solely responsible for:

  • Managing access permissions

  • Safeguarding login credentials

  • Ensuring authorized use

Nayora reserves the right to modify, limit, or suspend access if misuse, abuse, or legal or operational risk is detected.


8. Client Responsibilities

Clients are solely responsible for:

  • The accuracy, legality, and completeness of all data submitted

  • Obtaining all required consents from individuals whose information is processed

  • Compliance with applicable privacy, data protection, and communication laws

Nayora does not verify or validate client-submitted data and assumes no responsibility for errors, omissions, or misuse of such data.


9. Use of the System & Responsibility

Clients are solely responsible for how the Services are used, including all actions taken, data processed, communications sent, and decisions made using the delivered systems.

Nayora is not responsible for the client’s operational use of the system or for any outcomes resulting from such use.


10. Data Processing Role

Nayora acts solely as a service provider and data processor, processing data on behalf of clients based on their instructions.

Clients retain full ownership, responsibility, and legal accountability for all data processed through the Services.


11. Restricted Data

Clients shall not submit sensitive personal data (including but not limited to health data, biometric data, financial account numbers, or data related to minors) unless explicitly agreed in writing.

Clients remain solely responsible for lawful collection and processing of any data submitted.


12. Third-Party Services

The Services may rely on third-party platforms for data collection, automation, storage, or communication.

Nayora is not responsible for outages, failures, limitations, changes, or discontinuation of third-party services beyond its reasonable control.


13. Service Availability & Support

The Services are provided on an “as is” and “as available” basis.

Nayora does not guarantee uninterrupted availability.

Support is provided on a reasonable, best-effort basis related solely to the original implementation and defined maintenance.


14. Acceptable Use

You agree not to use the Services for illegal, fraudulent, deceptive, or abusive activities.

Nayora may suspend or terminate access without notice if misuse is suspected. Such termination does not entitle the client to any refund.


15. Intellectual Property

Clients retain ownership of their data.

Nayora retains ownership of all pre-existing tools, templates, frameworks, methodologies, and reusable automation logic used to deliver the Services.

Clients receive a limited, non-transferable license to use the delivered system for internal business operations only.


16. Limitation of Liability

To the maximum extent permitted by law, Nayora shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of data, revenue, profits, or business opportunities

  • Client misuse of the Services

  • Errors arising from client-submitted data

  • Third-party service failures

Total liability, if any, shall not exceed the amount paid for the Services.


17. Indemnification

You agree to indemnify and hold harmless Nayora from any claims, damages, losses, liabilities, or expenses arising from:

  • Your use of the Services

  • Data you submit or process

  • Violations of these Terms or applicable laws


18. No Chargebacks

Client agrees not to initiate chargebacks or payment disputes for Services that have commenced or been delivered.

Any chargeback or payment dispute constitutes a material breach of these Terms and may result in immediate suspension of access.


19. Independent Contractor

Nayora operates as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.


20. Force Majeure

Nayora shall not be liable for delays or failures resulting from events beyond its reasonable control, including outages or changes in third-party services.


21. Termination

Nayora may suspend or terminate access to the Services at any time if these Terms are violated or if continued operation presents legal, operational, or reputational risk.

Termination does not entitle the client to any refund.


22. Modifications

Nayora may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.


23. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction selected by Nayora, without regard to conflict of law principles.


24. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements.
